Welcome to Kodelyth ("Company", "we", "our", "us"). By accessing our website at kodelyth.com and using our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By accessing or using any part of Kodelyth's website or services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services Provided

Kodelyth provides the following services:

• AI and machine learning solution development
• Custom software and web application development
• Mobile application development
• Cloud infrastructure and VPS management
• Digital marketing and SEO services
• IT consulting and strategy advisory
• Online courses and professional training
• Domain registration and web hosting

3. Account Registration & Orders

When you place an order or register for a course, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

3.1 Order Confirmation

An order is confirmed only upon receipt of a signed agreement (for project work) or payment confirmation (for courses and monthly plans). We reserve the right to decline any order at our discretion.

3.2 BDT Pricing

All prices displayed on our website are in Bangladeshi Taka (BDT ৳). Prices are subject to change without prior notice, but quoted prices for confirmed orders are binding for the stated project scope.

4. Payment Terms

Payment terms are as follows:

• Project Work: 30–50% advance payment before commencement; remaining balance upon project delivery
• Monthly Plans: Billed monthly in advance on the subscription start date
• Online Courses: Full payment required before access is granted
• Consulting: Payment due within 7 days of invoice

Accepted payment methods: bKash, Nagad, Rocket, bank transfer, SSLCommerz (card/online banking).

5. Intellectual Property

5.1 Client Work

Upon full payment, you receive full ownership of all custom-developed software, code, and assets created specifically for your project. This excludes third-party libraries, frameworks, and tools used in development.

5.2 Our Intellectual Property

Our website content, branding, tools, methodologies, and course materials remain the exclusive property of Kodelyth. You may not reproduce, distribute, or create derivative works without explicit written permission.

6. Confidentiality

We treat all client project information as confidential. We will not disclose your project details, business information, or proprietary data to third parties without your written consent. We sign NDAs upon request for Enterprise clients.

7. Service Delivery & Timeline

Project timelines are estimates and may vary depending on scope changes, client feedback response times, and third-party dependencies. We will communicate any delays promptly. Timelines are not guaranteed unless explicitly stated in a signed contract.

8. Client Responsibilities

To ensure timely delivery, you agree to:

• Provide necessary materials, access, and information in a timely manner
• Respond to feedback requests within 5 business days
• Ensure you have the legal right to use any third-party content you provide
• Designate a point of contact for the project

9. Warranty & Support

We provide 30 days of bug-fix warranty after project delivery at no extra cost. After this period, maintenance and support are available as a paid service (৳5,000/month) or as part of an ongoing retainer plan.

10. Limitation of Liability

To the maximum extent permitted by law, Kodelyth shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

11. Course Terms

• Course access is for individual use only — sharing credentials is prohibited
• Course materials are protected by copyright and may not be reproduced or distributed
• Certificates are issued upon successful completion of all course requirements
• Lifetime access applies to the current version; major new versions may be priced separately

12. Prohibited Uses

You may not use our services for:

• Any illegal activity under Bangladesh law or international law
• Creating malware, spyware, or harmful software
• Unauthorized data collection or privacy violations
• Defaming, harassing, or harming third parties
• Activities that infringe on intellectual property rights

13. Governing Law

These Terms are governed by the laws of the People's Republic of Bangladesh. Any disputes shall be resolved through the courts of Dhaka, Bangladesh, or through mutually agreed alternative dispute resolution.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered clients of material changes via email. Continued use of our services after changes constitutes acceptance of the new Terms.
